Terms of Service

These Terms of Service (“Terms”) govern your use of the Miles Management Corp (“Miles Management,” “we,” “us,” or “our”) website at https://milesmgt.com (the “Site”) and the resident portal at pay.milesmgt.com (the “Portal” and, together with the Site, the “Services”). By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.

1. Eligibility and Portal Invitations

The Site is available to the general public. The Portal is available by invitation only to current tenants, approved applicants, and other persons expressly invited by Miles Management. You may not create or attempt to create a Portal account without an invitation, and we may decline, suspend, or revoke Portal access for any person who is not (or ceases to be) an eligible invitee.

2. Your Account

You are responsible for maintaining the confidentiality of your Portal login credentials and for all activity that occurs under your account. Notify us promptly at help@milesmgt.com if you suspect unauthorized access. You agree that the information you provide in connection with your account is accurate and that you will keep it current.

3. Acceptable Use

You agree not to:

  • Use the Services for any unlawful purpose or in violation of any applicable law;
  • Access or attempt to access another person’s account or data;
  • Interfere with, disrupt, probe, or circumvent the security of the Services;
  • Introduce malware or other harmful code;
  • Scrape, harvest, or copy content or data from the Services except as permitted by us in writing;
  • Impersonate any person or misrepresent your affiliation with any person or entity; or
  • Use the Services to transmit abusive, defamatory, or fraudulent content.

We may suspend or terminate access for violations of this section.

4. Payments

  • ACH authorization. Payments through the Portal are made by ACH bank transfer pursuant to the electronic authorization you grant when you link your bank account and initiate or schedule a payment. By enabling autopay, you authorize recurring debits in the amounts and on the schedule shown in the Portal until you cancel the authorization, which you may do at any time in the Portal with reasonable advance notice before the next scheduled debit.
  • Processing. Payments are processed by Stripe, Inc. Your bank credentials and account details are handled by Stripe and are not visible to Miles Management. Stripe’s services are subject to Stripe’s own terms.
  • Failed payments. If a payment fails or is returned (for example, for insufficient funds), the Portal will notify you and you remain responsible for the underlying amount due. Returned payments may be retried as permitted by ACH rules and applicable law.
  • Late fees. Any late fees, returned-payment charges, or grace periods are governed solely by the terms of your lease and applicable law — not by the Portal. The Portal is a payment convenience and does not modify when rent is due.

5. Your Lease Controls

The Portal is a tool for administering your tenancy; it is not your lease. In the event of any conflict between information displayed in the Services and the terms of your executed lease (including any amendments), the lease controls. Nothing in these Terms amends, supersedes, or waives any provision of your lease or any right or obligation under applicable landlord-tenant law.

6. Intellectual Property

The Services, including their design, text, graphics, logos, and software, are owned by or licensed to Miles Management and are protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable license to use the Services for their intended purpose. No other rights are granted.

7. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, MILES MANAGEMENT DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. THIS SECTION DOES NOT LIMIT ANY NON-WAIVABLE RIGHTS YOU HAVE UNDER YOUR LEASE OR APPLICABLE LAW.

8. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, MILES MANAGEMENT AND ITS OWNERS, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES. OUR AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THE SERVICES WILL NOT EXCEED THE GREATER OF ONE HUNDRED DOLLARS ($100) OR THE AMOUNTS YOU PAID THROUGH THE PORTAL IN THE THREE (3) MONTHS PRECEDING THE CLAIM. THESE LIMITATIONS DO NOT APPLY TO LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW, AND NOTHING IN THIS SECTION LIMITS EITHER PARTY’S RIGHTS OR OBLIGATIONS UNDER YOUR LEASE.

9. Indemnification

You agree to indemnify and hold harmless Miles Management from claims, damages, and expenses (including reasonable attorneys’ fees) arising from your violation of these Terms or your misuse of the Services, except to the extent caused by our own negligence or willful misconduct.

10. Modification and Termination

We may modify these Terms from time to time. When we do, we will update the effective date above and post the revised Terms; material changes affecting Portal users will be communicated by email or Portal notice. Your continued use of the Services after changes take effect constitutes acceptance. We may suspend or discontinue the Services (or your access to them) at any time, provided that doing so will not deprive you of any right you hold under your lease or applicable law — including reasonable alternative means to pay rent.

11. Governing Law and Venue

These Terms are governed by the laws of the State of Illinois, without regard to conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Services shall be brought exclusively in the state or federal courts located in Cook County, Illinois, and you consent to the jurisdiction and venue of those courts. This section does not override any venue or forum provision of your lease or any non-waivable statutory right.

12. General

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Miles Management regarding the Services (your lease remains a separate agreement). If any provision is held unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a transfer of our business.
